The State of California Public Utility Commission has recently authorized a framework for a new Demand Response Program known as the Customer Bidding Program (CBP). Simultaneously, ECS is bidding directly with my utility to provide additional demand response programs. Once all programs have been finalized, we understand that ECS will place us in the Demand Response Program that is most beneficial to us and we hereby authorize ECS to enroll us in any such program at their discretion and in accordance with this enrollment form. (2.) By enrolling now, ECS guarantees placement in their "Cut Back California Program"T (3.) The "Program Period" is defined as the six (6) months of May through October for each year of participation. We do have the right to opt out of one (1) of these six (6) months per year by providing notice to ECS at least 8 days before the month we want to opt out. For example, if we don't want to participate in September, we will have to provide notice to ECS by August 23rd. This notice may be via mail; email (gesmith@ecscal.com) or toll free fax (1-877-711-0506). (4.) We will receive two (2) separate types of payments by participating: (a.) Capacity Payment: We will be paid no less than that which is provided in the ECS standard payment schedule (if desired, we will contact ECS for a confirmation of this amount). ECS will pay us in one (1) lump sum payment at the end of the Program Period. We are entitled to this Capacity Payment even if a participation event is not called; (b.) Energy Payment: We will additionally be paid no less than the standard percentage (per ECS' payment schedule) of any amounts received as "Energy Payments" during an actual called emergency event. (5.) We will not be subject to financial penalties by participating in this program, even if we fail to reduce electricity when called upon. Our payments for each Program Period will be determined in accordance with the rules of the Customer Bidding Program (CBP) of my electric utility. Any credits we receive for performing during the Program Period will be offset by any debits associated with not performing in a requested hour, but we will never be financially penalized out-of-pocket. (6.) There is no charge or administrative fee for participating in this program; (7.) It is required for participation that our facility has an interval meter installed, unless already in existence. Under certain circumstances, our electric utility will pay all expenses associated with the interval meter and installation thereof. ECS will coordinate with our utility to ensure that we are properly metered for participation in this program. If our utility does not provide free interval metering, ECS will pay all expenses associated with the necessary interval metering system and installation. We authorize ECS to seek reimbursement from any administrative agencies of the State of California or elsewhere that could potentially reimburse them for the metering expenses; (8.) ECS will maintain no control over when and how we reduce electricity when called upon. We will make best efforts to reduce electricity when requested. Upon our request, ECS will perform a free demand response audit to help identify electric loads that we could potentially curtail; (9.) The rules governing the use of generators in California for these programs have not yet been determined. If we have enrolled with the expectation to run our on-site generator and we are prohibited from doing so under the rules, then that portion of our curtailment attributable to the on-site generator will be excluded from this agreement. (10.) ECS will give us a day-ahead notice of any requests for reduction; (11.) ECS offers multiple options relative to the length of time we would be expected to reduce when called. The maximum number of hours we may be called to reduce energy in any given calendar month is 24 hours. ECS will place me in the particular range pool that is most beneficial to me, in ECS' discretion. (12.) Misc.: (a.) We agree to participate for the next five (5) summer program periods and any winter programs that may develop during that term; (b.) To ensure continuous enrollment, our participation will automatically be renewed in future periods with the same terms, unless we notify ECS in writing 60 days before the beginning of the next program period; (c.) Right of first refusal; (d.) We authorize ECS to enroll us in my utility's CBP, BIP and/or any other program directly negotiated between ECS and my utility or which may become available during the term of the enrollment.
